SERVICE AGREEMENT

The purpose of this letter is to confirm the agreement between Comprehensive Search and your Company (also referred to as the "Company" or "you") to provide resume search research and related services.

Pursuant to this agreement, Comprehensive Search will provide these services at the agreed upon rate. The search will be limited to the position(s) title(s) given by the Company. Substantial changes made to the job order once it is commenced may constitute a new and separate order.

Because of the nature of employee job changes and relocations in the workplace, Comprehensive Search acknowledges that the list of researched resumes is current for an undefined period of time. As a result, the Company should institute contact with researched resumes as soon as practicable, but no later than three weeks from receipt of the resumes provided in this agreement.

Company agrees that Comprehensive Search shall have no liability arising out of or relating to its services, except for the material breach of its obligation to provide the research and service as set forth in this agreement. In the event of such breach, Comprehensive Search shall be liable only to the extent of reimbursement of monies paid by the Company for the provision of said researched position(s). Company expressly agrees that such liability is limited to reimbursement of these monies paid, and does not extend under any circumstances to other damages or equitable remedies, including but not limited to consequential or punitive damages.

In the event that either Company or Comprehensive Search must resort to legal action to enforce this agreement, the prevailing party shall be entitled to reimbursement from the non-prevailing party for all reasonable attorney fees and costs.

An invoice will be forwarded to you upon completion of services set forth in this agreement. Invoices are due and payable upon receipt. Late charges will be assessed at a rate of 1% per day after 10 days of the date of invoice or delivery of service.

This agreement shall be governed and construed in accordance with the laws of the State Of Georgia
